By accessing or using SeatPrune ("the Service"), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

SeatPrune is a software license auditing and cost optimization platform. The Service connects to your Microsoft 365 tenants (and potentially other platforms) to analyze license usage and provide recommendations for cost savings.

3. Account Registration

To use the Service, you must create an account. You agree to:

Provide accurate and complete information during registration
Maintain the security of your account credentials
Notify us immediately of any unauthorized access
Accept responsibility for all activities under your account

4. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose
Attempt to gain unauthorized access to any portion of the Service
Interfere with or disrupt the Service or servers
Reverse engineer or attempt to extract source code
Resell or redistribute the Service without authorization

5. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of information as described in the Privacy Policy.

6. Third-Party Integrations

The Service integrates with third-party platforms such as Microsoft 365. Your use of these integrations is subject to the respective third party's terms of service and privacy policies. We are not responsible for the practices of third-party services.

7. Subscription and Billing

Certain features of the Service require a paid subscription. By subscribing:

You authorize us to charge your payment method on a recurring basis
Subscription fees are billed in advance and are non-refundable
You may cancel your subscription at any time
Price changes will be communicated with at least 30 days notice

8. Intellectual Property

The Service and its original content, features, and functionality are owned by SeatPrune and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

9. Disclaimer of Warranties

The Service is provided "as is" without warranties of any kind, whether express or implied. We do not guarantee that the Service will be uninterrupted, secure, or error-free. Recommendations provided by the Service are for informational purposes and should be verified before implementation.

10. Limitation of Liability

To the maximum extent permitted by law, SeatPrune shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of the Service, including but not limited to loss of profits, data, or business opportunities.

11. Termination

We may terminate or suspend your account at any time for violations of these Terms. Upon termination, your right to use the Service will cease immediately. You may terminate your account at any time by contacting us.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the new Terms.
